Payroll
EBS provides a payroll service to calculate the salaries, net pay and tax deductions for employed persons in our client companies. The service includes advising on the amounts to be paid each month and completing the year end declarations.
Company Formation
There are in practice only two commonly used types of limited companies in the UK. Public companies, which must have a share capital of GBP 50000, and Private companies, which have a minimum share capital of GBP 1.
We will check the Company Names Register for your preferred name, form the Limited Company of your choice and appoint the first Directors and Shareholders.
Company Secretary and Registered Office
Every Limited Company in the UK must have a Registered Office, which is the official address of the company. The actual trading address can be in another place such as a Science Park, but the Registered Office is important as it is the address to which “official” letters must be sent. For Limited Companies formed in England the Registered Office must be in England.
Every public company must have a Company Secretary, and private companies can have one if they wish. The Company Secretary is not a Director, but is an “Officer” of the company and can carry out some of the official functions such as discussions with the tax authorities, and can sign many official forms on behalf of the company.
The Company Secretary is responsible for maintaining the Statutory Records of the Limited Company, keeping the authorities informed of any changes and dealing with the legal administration of the company itself.
